Procedures for Registration of a Private Limited Company in India


1.       Application for DIN
All the existing and indenting directors have to obtain Directors identification number by making an application in eForm DIN 1
A.      Procedures
                                                                                 i.            eForm DIN -1 should be filled online
                                                                               ii.            Attach Supporting Documents like proof of identity (PAN) and proof of residence.  Physical documents are not required to submit to DIN cell. Along with the supporting documents, verification by the applicant for applying for allotment of Director Identification number shall also be attached.
                                                                              iii.            The eForm shall have to be Digitally Signed and digitally uploaded on MCA21 portal.
                                                                             iv.            Upon upload, pay the fees for DIN1 eForm. Only electronic payment of fees shall be allowed.
                                                                               v.            Upon upload and successful payment, In case Form DIN 1 details have not been identified as potential duplicate, Approved DIN shall be generated and if the details have been identified as potential duplicate, Provisional DIN shall be generated.

2.       Acquire/Register DSC
                                                         i.            Acquire Digital Signature from a licensed  Certifying Authority(CA)
                                                       ii.            Register Digital Signature with MCA

3.       New User Registration
                                                         i.            Register as a Business user or Registered user to avail the services of filing eForm or any paid service.

4.       Incorporate a Company
                                                         i.            Obtain name approval by filing eForm – 1A
                                                       ii.            After obtaining name file Form 1 – Application or declaration for incorporation of a company
                                                      iii.            Form 18 – Notice of situation or change of situation of registered office
                                                     iv.            Form 32 – Particulars of appointment of Managing Director, Directors and Managers
                                                       v.            A Certificate of Incorporation will be issued in the name of the Company after completion of this step
5.       The fee for registering a company is based upon the Authorized/Nominal Capital of the company. Details of fee is available at http://www.mca.gov.in

6.       A private Limited Company can start business immediately after obtaining Certificate of Incorporation.

STEP BY STEP GUIDE ON HOW TO FILE GST RETRURN-3B

1.  After login, select Return Dashboard 2. Select Financial Year 2017-18 and Month July. Click Search and Select              GSTR-3B 3.  Declare your liabilities and ITC claims in Section 3.1 and 4 respectively   by clicking on the tiles and furnishing the required information. Transitional ITC cannot be claimed in GSTR3B. It can be claimed only through TRANS 1 and TRANS 2. 4 . Enter details of interest, if payable, in Section 5.1. Late fee will be computed by the system 5.
